Amend Registration of Private Joint Stock Companies

This service allows the declaration of amendments to the Articles of Association and the company's registration data. The amendment certificate is issued, reflecting changes to the members of the board and the formation of positions. Pursuant to the amendment certificate, the company can modify the trade license and commercial registration with the Department of Economic Development in the relevant emirate.

Note:

  • Fees may be required in special cases when reducing the capital, estimating the share premium, or evaluating in-kind shares, etc., noting that the method of calculating fees is done automatically through the Ministry's system.

Conditions and Requirements

    • A general assembly meeting shall be held to approve amendments to the Memorandum of Association and Articles of Association and the amendment to the Directors.

Required Documents

    • A copy of the minutes of the General Assembly meeting stating the approval of the amendments and the change in the formation of the Board of Directors.
    • A copy of the appendix of the Amendment of the Memorandum of Association, duly authenticated.
    • A copy of the appendix of the Amendment of the Articles of Association approved by the Chairman of the Board of Directors.
    • A copy of the list of shareholders' data approved by the company's shares registrar in the event that the amendments relate to the company's capital or ownership in it.
